1. Definitions
Throughout this document, the following terms carry the meanings set out below:
- "Brackenhall" / "we" / "us" / "our"
- The procurement and vendor advisory firm operating under the name Brackenhall, based at 305 Ratchadamri Road, Lumphini, Pathum Wan, Bangkok 10330.
- "Client" / "you" / "your"
- The individual or business that engages Brackenhall for services or uses the website.
- "Services"
- The procurement advisory, vendor selection support, and related services offered by Brackenhall as described on this website.
- "Content"
- All text, documents, templates, summaries, and materials produced in connection with the Services.
- "Agreement"
- The contract formed between Brackenhall and a Client upon confirmation of an engagement, incorporating these Terms.
2. Acceptance of Terms
By submitting an enquiry, booking a session, or engaging Brackenhall in any capacity, you confirm that you have read and accepted these Terms and Conditions.
These Terms apply to all visitors to our website and to all clients who enter into a service engagement with us. If you are acting on behalf of a company or organisation, you represent that you have authority to bind that entity.
Use of our services is available to individuals and businesses aged 18 or older (or the legal age of majority in their jurisdiction, whichever is higher). By engaging us, you confirm you meet this requirement.
3. Services
Brackenhall offers three core services in the field of procurement and vendor advisory:
- Procurement Review Session — a structured half-day session reviewing existing buying processes and producing a summary with improvement notes. Priced at ฿3,800 per engagement.
- Vendor Selection Support — a collaborative engagement covering needs definition, supplier comparison, and selection documentation. Priced at ฿19,000 per engagement.
- Procurement Advisory Engagement — an annual relationship providing regular sessions, supplier relationship input, and written notes throughout the year. Priced at ฿32,500 per year.
Services are advisory and informational in nature. Nothing in the Services constitutes legal, financial, regulatory, or investment advice. Brackenhall does not hold licences as a legal practitioner, financial adviser, or regulated professional in any jurisdiction.
We endeavour to make the Services available during agreed working hours. Brackenhall does not commit to uninterrupted availability outside agreed engagement terms.
4. Client Responsibilities
When using our website or engaging our Services, you agree to:
- Provide accurate and complete information when making enquiries or entering into engagements
- Use our website and outputs only for lawful business purposes
- Treat advisory materials as internal working documents and not reproduce or redistribute them without permission
- Not attempt to extract, copy, or repurpose website content or materials for commercial redistribution
- Not engage in any conduct that interferes with the normal operation of our website or services
5. Intellectual Property
All content on this website — including text, structure, templates, and any material produced during a service engagement — remains the intellectual property of Brackenhall unless otherwise agreed in writing.
Upon full payment for an engagement, the Client receives a non-exclusive, non-transferable licence to use the deliverables produced for that engagement within their own organisation for internal operational purposes.
This licence does not permit redistribution, resale, or commercial use of deliverables by the Client or any third party without prior written consent from Brackenhall.
6. Payment Terms
All service fees are quoted in Thai Baht (฿) inclusive of applicable taxes where required.
- Payment is due upon confirmation of an engagement unless otherwise agreed in writing
- For annual engagements, payment may be arranged on a quarterly basis at Brackenhall's discretion
- Bank transfer is the standard payment method; details are provided at engagement confirmation
Refund policy: If an engagement is cancelled by the Client before any work commences, a full refund will be issued. Cancellations after work has begun will be assessed on the proportion of work completed, and any reasonable costs already incurred will be retained.
Brackenhall reserves the right to pause or discontinue services where agreed payment has not been received.
7. Specific Service Terms
Procurement Review Session
Sessions are delivered as agreed on a specific date. The client is responsible for making relevant team members and process documentation available. The written review summary will be delivered within 5 working days of the session.
Vendor Selection Support
The scope of work is defined at the outset of each engagement. Significant changes to scope requested after work commences may require a revised fee arrangement. Deliverables include selection criteria documentation and a structured comparison template.
Procurement Advisory Engagement
Annual engagements run for 12 months from the confirmed start date. Session scheduling is agreed in advance on a mutually convenient basis. Unused sessions within a period do not roll over.
8. Disclaimers
Brackenhall provides advisory and informational services only. All output is intended as a practical reference for internal use and should be assessed by the Client in light of their own circumstances.
We do not represent or warrant that any particular outcome will follow from using our Services or applying our recommendations. Business decisions remain the sole responsibility of the Client.
Our website and its content are provided on an "as is" basis. While we take care to keep information accurate, we make no representation about the completeness or currency of information presented.
9. Limitation of Liability
To the extent permitted under Thai law, Brackenhall's total liability in connection with any engagement or use of the website is limited to the amount paid by the Client for the relevant service.
We will not be liable for indirect, consequential, or business losses, including loss of revenue, contracts, or anticipated savings, whether or not we were advised of the possibility of such loss.
Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.
10. Indemnification
The Client agrees to indemnify and hold Brackenhall harmless from any claims, costs, or liabilities arising from the Client's use of deliverables in a manner inconsistent with these Terms, or from any inaccurate or misleading information the Client provided during an engagement.
11. Termination
Either party may bring an engagement to a close by giving reasonable written notice. For session-based services, notice before the scheduled session date is required. For annual engagements, 30 days' written notice is required.
Brackenhall may suspend or discontinue access to services in cases of non-payment or material breach of these Terms.
Provisions relating to intellectual property, disclaimers, liability, and dispute resolution survive any termination.
12. Dispute Resolution
These Terms and any engagement with Brackenhall are governed by the laws of the Kingdom of Thailand. The courts of Bangkok shall have jurisdiction over any matter that cannot be resolved between the parties.
Before pursuing formal proceedings, both parties agree to attempt to resolve any dispute informally by contacting Brackenhall at [email protected] with a written summary of the matter. We will respond within 10 working days.
Where informal resolution is not achieved, either party may refer the matter to the Thai Arbitration Institute or proceed through the Thai court system.
13. General Provisions
- Entire Agreement: These Terms, together with any written engagement confirmation, constitute the entire agreement between the parties in respect of the Services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
- Waiver: A failure to enforce any provision on a given occasion does not constitute a waiver of that provision in the future.
- Assignment: The Client may not assign rights or obligations under an engagement without our prior written consent. Brackenhall may assign its rights to a successor entity.
- Notices: Formal notices should be sent in writing to the address or email listed in Section 15.
14. Changes to Terms
We may update these Terms from time to time. When material changes are made, the "Last updated" and "Effective" dates at the top of this document will be revised accordingly.
Where you have an active annual engagement, we will notify you of significant changes by email with reasonable notice before they take effect. Continued use of our Services following the effective date of any update constitutes acceptance.
